Key responsibilities:

  • Liaises with the Dentsu Group Functions and/or Regional M&A teams on all aspects of M&A
  • Provides advice and guidance on deal structures
  • Assists with the appraisal of Dentsu Group global acquisition opportunities
  • Manages the deal pipeline, including liaison with the Regional M&A teams to get updated information on a regular basis and maintaining the central pipeline control schedules
  • Liaises with the Dentsu Group functions to ensure their timely and effective input into acquisition proposals (APs) and legal documentation
  • Manages and reports post acquisition integration reports (3 months integration checklists, 12 months post completion reports and other reports) in cooperation with regional M&A teams
  • Assist in preparing valuation model and run various sensitivities to stresstest potential outcomes and ensure deal falls within DI's acquisition return parameters, review due diligence reports, assist to draft acquisition proposals (APs) and review legal documentation
  • Reviews APs to ensure that they are of a suitable quality for submission to the M&A Committee and that any deal issues (including due diligence findings) have been considered and appropriated addressed in the document
  • Reviews draft LOIs, SPAs and other legal documentation to ensure that the deal structure is properly presented, and risks are appropriately mitigated
  • Assesses past acquisitions to inform Dentsu management on financial returns, common issues and lessons learned to provide better insight into past acquisitions
  • Reviews earnout calculations, ensuring the calculation has been properly prepared, that appropriate supporting documentation has been provided and that an effective review process has been undertaken
  • Maintains the database of M&A templates, and periodically those for which M&A are responsible, including AP and the investment model, and develop new templates as necessary
  • Prepares ad hoc papers for submission to the M&A Committee, the Dentsu International and Dentsu Boards, and other committees/boards
Experience needed

  • Strong commercial acumen demonstrated through supporting clients and / or internal stakeholders
  • Excellent financial training and experience including financial modelling and analysis
  • Understanding of a deal environment, deal structures and valuation theory
  • Proactive approach to working within a team
  • Experience of working in a fast moving, high pressured and exciting deal process
  • Strong communication and stakeholder management skills
  • Sound judgement, diligent, strong attention to detail and a team player with the ability to meet strict deadlines
  • Strong analytical, critical thinking and problem solving skills with the ability to organise and gather facts, navigate through complex issues and draw conclusions
  • CA and/or CFA qualified / significant valuation and deal experience
  • Understanding of the advertising and media industry an advantage but not essential
  • A desire to work in a values driven environment, embracing a culture of energy
