    Description

    Key Responsibilities

    • Managing the formation and day-to-day administration of assigned portfolio of Singapore companies
    • Liaising with legal counsel, clients and internal parties with regards to the onboarding, client due diligence and risk assessment of business for new and existing clients
    • Assisting with the review on a corporate governance and transactional basis on documents and resolutions, attending to statutory filings in accordance with the applicable deadlines, maintaining statutory records and coordinating of the timely signing of documentation
    • Supporting the team by identifying the obligations and responsibilities of the Singapore companies, directors and to clients so they can be considered and managed effectively to adhere to best practices and regulatory guidelines.
    • Building detailed understanding of transactions and entity specific obligations under transaction documents, manage the adherence to such obligations and act as a source of guidance for directors and other team members HKGLAW
    • Assisting with the preparation and circulation of notices of board and/or shareholders' meetings, minutes of board and/or shareholders' meetings.
    • As required, liaise with accountants, auditors and external third parties on Singapore companies.
    • Preparing and overseeing production of client invoices in line with agreed fee quotes and manage cash collection process
    • Building and maintaining strong relationships with clients and intermediaries, including lawyers, arrangers, agents, security trustees, custodians and other transaction parties
    • Undertake any project work as required, undertake initiatives identified and designated from time to time by your direct Manager.

    Competencies

    • At least 8 years' relevant experience in the corporate secretarial and finance industry.
    • Knowledge of CoSec for Singapore, Cayman and BVI is essential.
    • Excellent academic background and considerable practical experience, supported by a relevant professional qualification such CSIS.
    • Excellent written and verbal communication skills.
    • Strong working knowledge of Viewpoint would be an advantage. Commitment to high standards of client service based on understanding needs and delivering solutions.
    • Excellent management and influencing skills. A role model and team player.
