Description
Coordinate meeting schedules for Board and Board Committee Meetings, confirming director and attendee (HoDs) availability.- Review and manage the preparation, compilation, and distribution of meeting agendas and papers to directors and attendees.
- Organize and actively participate in board/committee meetings.
- Prepare and finalize accurate meeting minutes.
- Maintain updated minutes books and statutory records, both physically and electronically.
- Draft, review, and circulate resolutions for execution by directors and shareholders.
- Keep Terms of Reference for Board and Board Committees current and updated.
- Prepare SGX announcements using provided templates.
- Ensure compliance with Companies Act, Listing Manual, and relevant regulations for approximately 40 Singapore and overseas subsidiaries.
- Demonstrate proficiency in IPT and Share buyback matters.
- Uphold strong corporate governance practices.
- Oversee AGM & Annual Report activities, revising and updating corporate secretarial sections for distribution to stakeholders.
- Manage Dividend Script, Letters to Shareholders (Share Buyback and IPT mandates).
- Collaborate in organizing AGM/EGM, in coordination with other departments.
- Coordinate with external local corporate secretarial providers to ensure timely statutory lodgement.
- Manage communication with Share Registrar and external overseas corporate secretarial providers for various subsidiaries.
- Address queries/requests from auditors and liquidators.
- Provide support to other departments, including obtaining ACRA business profiles, corporate data, legal documents, etc.
- Assist with routine administrative tasks for the Legal & Corporate Secretarial Department when feasible.
Job Requirements:
- Qualifications: ICSA (Work in Progress or Graduate), ACIS, Law Diploma.
- Experience: 8 to 10 years of relevant corporate secretarial experience, preferably from ListCo, law firm, corporate service provider, Funds, or Financial Institution.
- Knowledge: Good grasp of Companies Act, SGX Listing Manual, Code of Corporate Governance, guidelines, and commercial practices.
- Collaboration: Ability to work harmoniously across departments and engage with diverse stakeholders.

- Initiative: Demonstrates proactive initiative and selfdriven attitude.
- Teamwork: Strong team player adept at handling multiple tasks.
