_Contract Management and Legal Support _

  • Draft, manage, review and negotiate a wide range of commercial contracts and other legal documents, including supplier and procurement, distribution, nondisclosure, service level agreements, IT, HR, franchising and licensing agreements as well as tenancy and leasing agreements.
  • Ensure contracts are in compliance with applicable local laws and regulatory requirements.
  • Collaborate with internal stakeholders to identify contract risks and provide commercial, practical and sound legal risk assessment and risk mitigation strategies.
  • Provide legal guidance on contract interpretation and dispute resolution coordination.
  • Manage, coordinate and protect the company's global intellectual property and trademark portfolios by assisting with cease and desist letters, IP disputes and working with local agents and lawyers on trademark prosecution and filing matters
  • Create regionspecific contract templates and regularly update them with applicable laws and regulations in order to maximize the efficiency of transactions without compromising the Company's compliance with relevant laws and regulations
  • Participate in regional legal, compliance and risk initiative and projects where necessary.

_Compliance and Risk Management _

  • Advise on legal and regulatory compliance matters, including but not limited to corporate governance, consumer protection, company gifts policy, advertising, product labeling, and data privacy.
  • Monitor changes in relevant laws and regulations in the respective markets that Simmons operates provide appropriate counsel and advice to management on such changes and development.
  • Conduct compliance audits and develop policies and procedures to mitigate legal risks.
  • Develop and conduct of legal and compliance training, working with relevant stakeholders to formulate and implement appropriate standards and industry codes and guidelines.
  • Review and draft data protection policies, consent forms, and data transfer agreements.
  • Reviewing communication with external parties, including the government, industry association, etc. on issues such as employment legislations/policies, compliance standards, etc. as required.
  • Monitor the compliance activities of the Company and its local subsidiary, proactively advising on any noncompliance risk in order to ensure that the Company and its local subsidiary be in compliance with all applicable domestic and international laws and regulations; Liaise and coordinate with Senior Management, Shareholders and Directors in regard to all corporate secretarial matters

Qualifications and Experience:


  • Bachelor's degree in Law or a related field.
  • 47 years of legal related experiences preferably from the retail or FMCG (MNC) industry.
  • Experiences in international IP filings and prosecution are desirable
  • Excellent drafting skills related to procurement and tender, commercial, tenancy and leasing contracts
  • Exposure to compliance policy creation, trainings and risk management related to personal data protection and anticorruption practices are crucial
  • Previous company secretarial experiences are advantageous but not compulsory
  • Good stakeholder management skills.
  • Ability to work under short deadlines in fastpaced environment
  • Responsible, meticulous, proactive, and organized
