The Legal Counsel will manage the Corporate Secretariat function for the NCS Group companies, overseas subsidiaries, and JV companies. He/ she will also partner and support the M & A team in the sale and purchase process.


As Legal Counsel, the broad area of your job responsibilities will cover the following:

  • Manage the Corporate Secretariat function for the NCS Group companies with the assistance of an external services provider
  • Oversee the corporate secretariat function of its overseas subsidiaries and JC companies through local legal counsels, company secretaries or agents
  • Maintain the corporate secretariat records for the Singapore entities
  • Comply with regulatory requirements under the Companies Act, including the management of board meetings
  • Partner the Mergers & Acquisitions team in the sale and purchase process
  • Review, advise on and negotiate corporate and commercial transaction agreements
  • Advising the legal team and conducting training on the Companies Act and related laws and regulation including the preparation of training materials
  • Participate in the legal department's knowledge management activities
  • Support periodic audit exercise on NCS and the legal department.
  • Review policies and processes of the legal function, collating and analyzing data, preparing reports and policy papers for the general improvement of the legal function and processes
  • All necessary reporting and liaison with listed parent company, Singapore Telecommunications Ltd for the above responsibilities
  • A good bachelor's degree in law and has called to the Singapore Bar
  • Strong knowledge in Company Act
  • Min. 4 years of relevant experience in private and/or inhouse practice with experience in company secretariat work, reviewing corporate commercial agreements (share purchase agreement, shareholders' agreement, jointventure agreements, NDAs, MOUs, business collaboration agreements)
  • Possess strong linguistic ability and good stakeholder management and interpersonal skills
  • Strong work ethic, able to work in a focused manner and within tight timelines
