    Profil du candidat

    ·Degree in law (LLB) from Singapore or reputable overseas university and called to the Singapore bar.

    ·At least 5 years of 'post-qualification experience' in either a law firm or as a legal counsel at an established multinational company.

    ·Have expertise in mergers and acquisitions, leading transactions and general corporate law.

    ·Be comfortable working both collaboratively and independently within a multinational environment.

    Activités

    Position holder provides legal advice and legal guidance regarding all aspects of Singapore law and various applicable laws, regulations, and Company rules.

    ·Legal advisory work : advising all APMO business departments, Managing Directors of Affiliates and JVs in APMO, drafting legal opinions, drafting, reviewing, and negotiating commercial contracts, developing and/or updating relevant templates and standard Terms & Conditions for all businesses in Singapore and APMO zone, liaising with local heads of Legal for dissemination and adaptation.

    ·M&A : leading the legal assistance on business development activities (establishment of new JVs, divestments, acquisitions of shares of assets), assisting, advising and negotiating alongside with the business, finance and tax teams and ensuring the drafting and reviewing of all the corporate transactions, preparing with the Head of Legal the CDMS and CORISK legal notes and coordinating with compliance, tax and finance teams to consolidate a comprehensive legal and compliance opinion.

    ·Corporate Secretarial : in charge directly or supervising i) incorporation of companies, corporate secretarial, business registration, renewal matters of TotalEnergies affiliates in APMO region, ii) all formalities in relation to board and shareholder meetings and formalities, ensuring compliance with applicable laws on corporate secretarial matters

    ·Compliance & Legal Function : drafting, reviewing and evaluating internal policies, legal documents, reports and liaising with the compliance team in Singapore as may be necessary, liaising and cooperating with Paris legal divisions to align Company policies and procedures for adaptation and implementation in APMO affiliates, implementing and reinforcing corporate governance and Company compliance requirements, managing the classification, digitization and archiving of original legal documents for the Singapore office, maintaining the Company legal data base (TELA).

    Contexte et environnement

    The position holder must have a comprehensive understanding of major legal risks of the APMO region with is complex and constantly evolving, to ensure the protection of the interests of the Company. He has to develop a constant awareness and expertise on the various applicable regulations to answer the business needs and secure the transactions. He has also to develop and maintain close contacts with all internal stakeholders and external lawyers in the entire APMO region. He works in autonomy but must interact and liaise closely with the other APMO Legal counsels (senior and junior) in Singapore, Corporate Affairs members (compliance, finance, tax, IT) and operational business divisions across jurisdictions and affiliates.
